These Terms & Conditions (the “Terms”) are a binding agreement between you and AP Research LLC, a New Jersey limited liability company doing business as American Peptide Research (“APR,” “Company,” “we,” “us” or “our”). These Terms govern your access to americanpeptideresearch.net and any related pages, accounts, communications, content, products and services controlled by APR (collectively, the “Site”).
By accessing the Site, creating an account, checking an acceptance box, submitting an order or otherwise using the Site, you confirm that you have read, understood and agreed to these Terms, the Privacy Policy and any policy expressly incorporated into these Terms. If you do not agree, do not use the Site or place an order.
1. Scope and Incorporated Policies
These Terms apply to every Site visitor, account holder and purchaser. APR’s Privacy Policy and any Shipping, Returns & Refunds Policy displayed on the Site are incorporated by reference. Product-specific specifications, labels, Certificates of Analysis and written order terms also apply to the applicable product or transaction.
If a product-specific written term conflicts with these Terms, the product-specific term controls only for that product. If a Shipping, Returns & Refunds Policy conflicts with these Terms, these Terms control unless the other policy expressly states that it overrides a specific section.
2. Eligibility and Qualified Purchaser Status
You must be at least twenty-one (21) years old and legally capable of entering a binding contract. If you act for a company, laboratory, university or other entity, you represent that you have authority to bind that entity.
Products may be purchased only by qualified researchers, trained laboratory personnel or legitimate research entities with the knowledge, facilities and procedures necessary to receive, handle, store, use and dispose of research chemicals safely and lawfully.
APR may request reasonable information to verify age, identity, research affiliation, business purpose, shipping destination or purchaser qualification. Site access, account creation or payment does not guarantee that APR will accept an order.
3. Research Use Only — Prohibited Human and Animal Use
Every chemical, material and related product offered by APR (each, a “Product”) is sold solely for legitimate in-vitro laboratory research, analytical or development purposes. Products are not offered, authorized or intended for human or animal consumption, administration, implantation, injection, ingestion, topical use, veterinary use, clinical use, diagnostic use or therapeutic use.
Products are not drugs, medications, dietary supplements, foods, food additives, cosmetics, medical devices, household products or veterinary products. Products are not intended to diagnose, treat, cure, mitigate or prevent any disease or condition. Statements on the Site have not been evaluated or approved by the U.S. Food and Drug Administration.
APR is a chemical supplier. APR is not a pharmacy, compounding pharmacy under section 503A of the Federal Food, Drug and Cosmetic Act, outsourcing facility under section 503B or healthcare provider.
You may not use a Product in or on any human or animal. You may not repackage, relabel, advertise, distribute or resell a Product for any prohibited use. You may not combine or prepare a Product for personal, clinical, therapeutic, diagnostic or veterinary use.
4. Purchaser Representations and Responsibilities
By ordering or possessing a Product, you represent, warrant and agree that: (a) your purchase, possession, import, handling, research use and disposal are lawful in every applicable jurisdiction; (b) you are qualified and properly equipped to handle the Product; (c) you will independently evaluate hazards, specifications, analytical information and appropriate controls; (d) you will use suitable facilities, containment, personal protective equipment, storage and disposal procedures; (e) you will not rely on APR for medical, clinical, preparation, dosage or administration advice; (f) all information you provide is complete and accurate; and (g) you will not transfer a Product to any person you know or reasonably should know intends a prohibited or unlawful use.
You are responsible for checking applicable federal, state, local and international laws, import rules, institutional approvals, environmental requirements, patents and chemical-control requirements, including any requirement that may apply under the Toxic Substances Control Act. A Product listing does not grant a license to infringe any patent or other right.
You must promptly notify APR if you become aware of suspected diversion, prohibited use, fraud, loss of Product control or a material error in information supplied to APR.
5. No Medical, Clinical or Usage Guidance
Site content is provided for general research and product-identification information only. It is not medical, pharmaceutical, veterinary, clinical, legal, regulatory or safety advice and is not a substitute for independent professional judgment.
APR does not provide instructions or recommendations concerning reconstitution, preparation, administration, injection, dosage, cycling, therapeutic protocols or personal use. APR may refuse or end communications that seek prohibited guidance and may cancel or restrict an account or order associated with suspected misuse.
6. Order Review, Acceptance and Refusal
Your order is an offer to purchase. APR accepts an order only when APR confirms acceptance or ships the Product. An order confirmation, payment authorization or pending charge is not final acceptance.
APR may verify information, place an order on hold, request documentation, limit quantities, reject or cancel an order, restrict destinations, close an account or refuse future service when reasonably necessary for compliance, safety, fraud prevention, inventory, pricing-error correction, payment risk or suspected misuse.
If APR cancels an unshipped order after collecting payment, APR will issue the appropriate refund or reversal, subject to payment-provider processing times and any lawful offset for fraud or previously delivered goods.
7. Accounts and Security
You are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account. Do not share an account with an unauthorized person. Notify APR promptly of suspected unauthorized access.
APR may require password resets, multi-factor authentication or other safeguards. APR is not liable for loss caused by your failure to secure your account except to the extent liability cannot legally be excluded.
8. Product Information, Specifications and Certificates
APR makes reasonable efforts to present accurate descriptions, quantities, images, prices, availability and analytical information. Typographical errors, display variations, batch differences and non-material packaging changes may occur. Product images are illustrative unless expressly stated otherwise.
A Certificate of Analysis or test result describes the tested sample, lot, method and conditions identified in that document. It is not a warranty of fitness for an unstated purpose, a clinical claim or a representation that every possible impurity, contaminant or hazard has been tested.
You must inspect the label, lot number, packaging and accompanying documentation before opening or using a Product. If identity, quantity, packaging or documentation appears incorrect, quarantine the Product and contact APR before use.
9. Prices, Payment, Taxes, Promotions and Rewards
Prices, availability, promotions, rewards and discounts may change without notice before order acceptance. APR may correct an obvious pricing, coupon or product-information error and may cancel an affected order even after submission. APR will refund an amount collected for a cancelled item.
You authorize APR and its payment providers to charge the selected payment method for the order total, taxes, shipping and disclosed fees. You represent that you are authorized to use the payment method and will not use false, stolen or misleading payment information.
You are responsible for sales, use, import, customs, value-added or similar taxes and charges not collected by APR. Promotional codes and rewards have no cash value, may be limited or revoked for abuse and are governed by any program terms displayed when offered.
10. Shipping, Delivery and International Orders
Shipping and delivery dates are estimates, not guarantees. You are responsible for providing an accurate deliverable address and monitoring tracking. APR may require signature, age or identity verification.
Carrier delays, weather, service interruptions, customs, government action, address errors and events outside APR’s reasonable control may affect delivery. Contact APR promptly about material tracking issues.
For international orders, you are the importer of record unless APR expressly agrees otherwise. You are responsible for confirming import eligibility, permits, duties, taxes and customs requirements. APR does not guarantee customs clearance. APR may refuse any destination.
11. Cancellations, Returns, Damage, Shortage and Non-Delivery
Because Product integrity and chain of custody cannot be verified after delivery, Products are not returnable unless APR authorizes a return in writing. Do not send a Product back without authorization.
A cancellation request must be submitted before fulfillment and is not guaranteed. An order cannot ordinarily be cancelled after shipment.
Claims for a damaged package, broken vial, incorrect item or shortage must be submitted through APR’s contact page within seven (7) calendar days after delivery and must include the order number, shipping label and clear photographs of the package and contents. Preserve the package and Product until APR completes its review.
A non-delivery claim should be submitted after fourteen (14) calendar days without delivery and no later than thirty (30) calendar days after shipment. APR may require carrier investigation, address confirmation and reasonable identity verification.
For an approved claim, APR’s remedy is, at APR’s election, replacement, store credit or refund of the affected Product and any directly attributable shipping charge. Refunds are issued to the original payment method when practicable. This section does not limit any non-waivable legal right.
12. Chargebacks, Fraud and Payment Disputes
Contact APR first to give APR a reasonable opportunity to investigate a billing or fulfillment concern. Nothing in these Terms prevents a lawful good-faith dispute with your payment provider.
Knowingly submitting a false chargeback, denying an authorized transaction, using fabricated evidence or retaining delivered Products after obtaining an improper reversal is prohibited. APR may submit order, acceptance, shipping, delivery, account and communication records to payment providers, fraud services, carriers, law enforcement and advisors as permitted by law.
13. Acceptable Site Use
You may use the Site only for lawful purposes related to evaluating or purchasing APR Products for permitted research. You may not: interfere with Site security or operation; introduce malicious code; scrape, crawl or copy the Site through automated means without written permission; test vulnerabilities without authorization; impersonate another person; submit false information; evade access, age, location, quantity or compliance controls; use the Site to facilitate prohibited use; or infringe another person’s rights.
APR may investigate suspected violations, preserve relevant records and cooperate with lawful requests. Unauthorized use may result in suspension, termination, order cancellation and legal action.
14. Intellectual Property
The Site and its text, graphics, logos, product photography, layout, databases, software and other content are owned by APR or its licensors and are protected by intellectual-property laws. APR grants you a limited, revocable, non-exclusive, non-transferable license to access the Site for its intended purpose.
You may not reproduce, modify, distribute, sell, frame, mirror, reverse engineer or create derivative works from Site content except with APR’s written permission or as permitted by law. No trademark license is granted.
15. Reviews, Submissions and Feedback
If you submit a review, image, comment, suggestion or other content, you represent that it is truthful, based on your own experience, lawful and does not disclose confidential information or promote prohibited human or animal use.
You grant APR a worldwide, royalty-free, non-exclusive license to host, reproduce, edit for length or formatting and display the submission in connection with APR’s business. APR may reject or remove content that is deceptive, unlawful, irrelevant, abusive, infringing or inconsistent with the research-only purpose of the Site.
16. Third-Party Services and Links
The Site may rely on or link to payment providers, carriers, analytics providers, social platforms, laboratories and other third parties. Their services and privacy practices are governed by their own terms. APR does not control and is not responsible for third-party content or services, except as required by law.
17. Compliance Monitoring and Records
APR may use transaction, device, network, account, identity, shipping and behavioral information to evaluate fraud, sanctions, diversion, misuse and compliance risk. APR may retain a record of your age-gate and checkout acknowledgments, including policy version, timestamp, IP address, account and order number.
APR may disclose records when reasonably necessary to enforce these Terms, protect rights or safety, respond to payment disputes, comply with law or cooperate with regulators, courts, carriers, payment networks or law enforcement.
18. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE, CONTENT AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” APR DISCLAIMS ALL EXPRESS, IMPLIED AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
APR DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR FREE OF HARMFUL COMPONENTS OR THAT A PRODUCT IS SUITABLE FOR AN UNDISCLOSED PROCEDURE OR PURPOSE. ANY EXPRESS WRITTEN PRODUCT SPECIFICATION OR LIMITED REMEDY APPLIES ONLY AS WRITTEN.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN THAT EVENT, THE DISCLAIMER APPLIES ONLY TO THE FULLEST EXTENT PERMITTED BY LAW.
19. Assumption of Research Risk
Research chemicals may have unknown hazards and may require specialized controls. You knowingly assume the risks associated with lawful possession, handling, storage, transportation, experimentation, transfer and disposal after delivery, including risks created by your protocol, facility, personnel, combination with other materials or failure to follow applicable requirements.
You are solely responsible for determining whether a Product is appropriate for your research design and for obtaining any institutional, governmental, safety or ethics approval required for that research.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, APR AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, SUPPLIERS AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, RESEARCH DELAY OR SUBSTITUTE PROCUREMENT, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, APR’S TOTAL LIABILITY ARISING FROM OR RELATING TO A PRODUCT OR ORDER WILL NOT EXCEED THE AMOUNT YOU PAID APR FOR THE SPECIFIC PRODUCT OR ORDER GIVING RISE TO THE CLAIM. FOR A CLAIM RELATING ONLY TO SITE USE AND NOT TO A PURCHASE, APR’S TOTAL LIABILITY WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).
THE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING LIABILITY FOR APR’S FRAUD, WILLFUL MISCONDUCT OR OTHER NON-WAIVABLE LIABILITY.
21. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify and hold harmless APR and its members, managers, officers, employees, contractors, affiliates, suppliers and agents from third-party claims, demands, proceedings, losses, liabilities, penalties, damages, judgments and reasonable attorneys’ fees arising from: your prohibited, unlawful, negligent or unauthorized use, handling, storage, transfer, resale or disposal of a Product; your breach of these Terms or representations; your violation of law or another person’s rights; or content you submit.
APR may control the defense of an indemnified matter with counsel of its choice. You may not settle a matter in a way that admits fault by or imposes obligations on APR without APR’s written consent. This section does not require a consumer to indemnify APR for APR’s own unlawful conduct.
22. Dispute Resolution, Arbitration, Class Waiver and Jury Waiver
22.1 Informal notice. Before filing arbitration or litigation, the claimant must send a written notice describing the dispute, supporting facts, requested relief and contact information. Send notice through APR’s contact page and by mail to AP Research LLC, Attn: Legal Notice, 77 Engle St, Englewood, NJ 07631. The parties will attempt in good faith to resolve the matter for thirty (30) days after receipt.
22.2 Agreement to arbitrate. Except for the matters in Section 22.4 and unless you timely opt out, you and APR agree that any dispute or claim arising from or relating to the Site, Products, an order, communications, these Terms or the relationship between you and APR will be resolved by final and binding individual arbitration, not in court.
22.3 Rules and administration. The Federal Arbitration Act governs this arbitration agreement. Arbitration will be administered by the American Arbitration Association (“AAA”) under the AAA Consumer Arbitration Rules then in effect, available at adr.org. The arbitration may proceed by documents, telephone, video or at a mutually agreed location. If an in-person hearing is required and the parties do not agree, it will occur in Bergen County, New Jersey unless applicable consumer law requires another location. Fees will be allocated under the AAA rules, subject to applicable law.
22.4 Exceptions. Either party may bring an eligible individual claim in small claims court. Either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect intellectual property, confidential information, account or Site security or to stop fraud, misuse or unauthorized access while arbitration is pending.
22.5 Individual relief only. YOU AND APR AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER OR REPRESENTATIVE IN A CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE ACTION. The arbitrator may award relief only to the individual claimant and only to the extent necessary to resolve that claimant’s individual claim.
22.6 Jury trial waiver. FOR ANY DISPUTE THAT PROCEEDS IN COURT, YOU AND APR KNOWINGLY WAIVE THE RIGHT TO A JURY TRIAL TO THE MAXIMUM EXTENT PERMITTED BY LAW.
22.7 Severability. If the class or representative-action waiver is found unenforceable for a particular claim or request for relief, that claim or request will proceed in court after all arbitrable claims are completed, unless applicable law requires otherwise. The remaining arbitration provisions will remain effective.
22.8 Thirty-day arbitration opt-out. You may opt out of Sections 22.2 through 22.7 by mailing a signed written notice within thirty (30) days after the first date you accept these Terms. The notice must state that you opt out of arbitration, identify your name, mailing address, account email and any relevant order number and be mailed to AP Research LLC, Attn: Arbitration Opt-Out, 77 Engle St, Englewood, NJ 07631. Opting out will not affect other Terms or your ability to use the Site, subject to APR’s ordinary qualification and compliance review.
23. Governing Law and Court Venue
New Jersey law governs these Terms without regard to conflict-of-law principles, except that the Federal Arbitration Act governs Section 22. For any dispute not subject to arbitration or small claims jurisdiction, the parties consent to exclusive jurisdiction in the state or federal courts located in or serving Bergen County, New Jersey.
This section does not deprive a consumer of a non-waivable protection of the law of the consumer’s home jurisdiction.
24. Suspension and Termination
APR may suspend or terminate Site access, an account, order or business relationship for violation of these Terms, suspected prohibited use, fraud, safety risk, legal or payment requirements or other legitimate business reasons. Provisions that by their nature should survive termination will survive, including payment obligations, restrictions, disclaimers, risk allocation, indemnification, dispute resolution and intellectual-property provisions.
25. Force Majeure
APR is not liable for delay or failure caused by events beyond its reasonable control, including natural disaster, severe weather, fire, epidemic, war, terrorism, civil unrest, labor dispute, supplier failure, carrier disruption, customs delay, cyberattack, utility or Internet failure, government action, embargo, shortage or interruption of transportation.
26. Changes to the Site and Terms
APR may update the Site and these Terms. The “Last Revised” date identifies the current version. Material changes will be communicated by reasonable notice, such as a Site banner, checkout notice or email when appropriate. Changes apply prospectively from the stated effective date. If you do not agree to revised Terms, stop using the Site and do not submit a new order.
The Terms accepted for a completed order will govern that order unless a change is required by law or you separately agree.
27. Electronic Communications and Signatures
You consent to receive transaction, account, policy and legal communications electronically at the contact information you provide. Electronic acceptance, records and signatures have the same effect as paper records and handwritten signatures to the extent permitted by law. Marketing communications are governed by your separate consent and the Privacy Policy.
28. General Terms
These Terms and incorporated policies are the entire agreement concerning their subject matter and supersede prior discussions or statements. A waiver must be in writing and applies only to the specific instance. If a provision is invalid or unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue. Headings are for convenience only.
You may not assign your rights or obligations without APR’s written consent. APR may assign these Terms in connection with a merger, financing, reorganization, sale of assets or by operation of law. No agency, partnership, joint venture, fiduciary or employment relationship is created.
